These Terms and Conditions of Use (“Agreement”) is a legal agreement between you and THERALOGICAL LLC (hereinafter referred to as “Website Owner”), the owner and developer of Theralogical.com. By registering for any service provided on Theralogical.com, or otherwise using the website, you become a client (“Client”) and you agree to be bound by all of the terms (the “Terms”) set forth in this Agreement as long as you remain a Client. IF YOU DO NOT AGREE TO THE TERMS, PLEASE DO NOT REGISTER FOR ANY THERALOGICAL.COM SERVICE. The Terms are subject to change at any time, effective upon notice to you.

Limitations of Liability. Client agrees that Theralogical.com, its subsidiaries, affiliates, licensors, licensees, service providers, employees, agents, officers, and directors will not be liable for any incidental, direct, indirect, punitive, actual, consequential, special, exemplary, or other damages, including loss of revenue or income, pain and suffering, emotional distress, or similar damages, even if Theralogical.com has been advised of the possibility of such damages, such damages were reasonably foreseeable or Theralogical.com was grossly negligent. In no event will the collective liability of Theralogical.com and its subsidiaries, affiliates, licensors, service providers, content providers, employees, agents, officers, and directors, regardless of the form of action (whether in contract, tort, or otherwise), exceed the fees paid by Client to Theralogical.com for the applicable service out of which such liability arose. Some jurisdictions do not permit the exclusion or limitation of liability for consequential or incidental damages, and, as such, some portion of the above limitation may not apply to Client. In such jurisdictions, the liability of Theralogical.com, its subsidiaries, affiliates, licensors, licensees, service providers, employees, agents, officers, and directors will be limited to the greatest extent permitted by law.
Indemnification. Client agrees to indemnify and hold Theralogical.com, its subsidiaries, affiliates, licensors, service providers, employees, agents, officers, directors, and contractors (the “Indemnified Parties”) harmless from any breach of the terms of this agreement by Client. Client agrees that the indemnified parties will have no liability in connection with any such breach or unauthorized use of Theralogical.com or any information obtained from or through Theralogical.com, and Client agrees to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and attorneys’ fees of the indemnified parties in connection therewith. Client will also indemnify and hold the indemnified parties harmless from and against any claims brought by third parties arising out of client’s use of Theralogical.com and any information accessed from this website.
Responsibility for Use of Website. You understand and agree that you are solely responsible for your actions and decisions to meet other people who you meet online by virtue of the services provided on Theralogical.com. You understand that Theralogical.com and Website Owner do not perform psychological testing or background checks on the individuals who may use the Theralogical.com services. You understand and agree that you must take all reasonable precautions before meeting others through the service provided by Theralogical.com, which includes, but is not limited to: exchanging e-mail first before giving out any personal information and meeting in a public place.
Do Not Rely on Theralogical.com. Opinions, advice, statements or other comments should not necessarily be relied upon and are not to be construed as professional advice from Theralogical.com or Website Owner. Theralogical.com and Website Owner do not guarantee the accuracy or completeness of any of the information provided, and are not responsible for any loss resulting from your reliance on such information. Some of the lessons contain the subjective opinions of the author, may be based on subjective criteria, or otherwise require individualized, case by case analysis and these lessons are not a replacement for the individual judgement of the therapist. These videos are only for therapists and are not to be used for self-diagnosis or diagnosis by any unlicensed individual. The author is providing general guidance for other therapists and the lessons are not individualized analysis and therefore are not medical or legal advice.
Warning re: Offensive Information. It is possible that other Theralogical.com clients will post or send obscene or offensive materials on the site or to you via e-mail. It is also possible that by using your e-mail address, other people may, through other means outside the control of Theralogical.com, have access to personal information about you. Theralogical.com, Website Owner, its employees, agents, affiliates, licensees and web hosting services are not responsible for these transmissions or for the release of such information by others about you.

Right to Monitor. Theralogical.com and Website Owner reserve the right, but are not obligated, to monitor materials posted in any public area and shall have the right to remove any information deemed offensive by our staff. Notwithstanding the foregoing, you remain solely responsible for your use of any information contained on the site. You understand and agree that if your use of the website’s services is determined by Theralogical.com, in its sole and reasonable discretion, to be offensive, obscene or otherwise improper, Theralogical.com can terminate your use of the website immediately without prior notice and without any right of refund, set-off or a hearing. If you become aware of any unauthorized use of your password or account, or any other breach of security, please contact Theralogical.com immediately. Confidentiality. It is agreed that all personal information given to Theralogical.com or Website Owner, will be kept confidential by Theralogical.com and Website Owner, with the following exceptions: (1) basic biographical information (i.e. age, sex, race) you choose to provide may be posted with your user ID for others to view; (2) you actively chose to post your personal information for others to see; (3) you send a message to another client, which will disclose your e-mail address to that client or (4) you have harassed another person via any service provided by Theralogical.com, in which case the confidentiality clause contained in this Agreement is rendered null and void. It is our policy to release a Client’s personal identifying information and any other information when we reasonably believe such disclosure is appropriate to comply with applicable law, to enforce any of our contracts or agreements, to protect the rights, property or safety of our users and customers, in response to a governmental authority request or legal process, or for purposes of fraud protection. By accepting this Agreement, you waive all rights and agree to hold Theralogical.com and Website Owner harmless from any claims resulting from any action taken by Theralogical.com during or as a result of its investigations and/or from any actions taken as a consequence of investigations by either Theralogical.com or law enforcement authorities.
Security. You are prohibited from using any services or facilities provided in connection with this website to compromise its security or tamper with any of its system, resources and/or accounts. The use or distribution of tools designed for compromising security (e.g., password crackers, rootkits, Trojan horses, or network probing tools) is strictly prohibited. If you become involved in any violation of system security, the Theralogical.com reserves the right to release your account details to system administrators at other websites and/or the authorities in order to assist them in resolving security incidents. Website reserves the right to investigate suspected violations of this Agreement.
Affiliate Links: Theralogical.com my contain advertisements and affiliate links (Advertisements), and Website Owner may be compensated based on your interactions with such Advertisements. The products and services contained in these Advertisements have not been reviewed by Website Owner. Owner shall not be responsible for any goods or services contained within any third party websites that are reached via Therealogical.com, and you agree to hold Website Owner harmless for any interaction you have with such Advertisements, third party websites, or the goods and/or services contained thereon.
Ownership, Copyrights, Trademarks, Licenses. You acknowledge and agree that the website and any software or programs used with respect to any Theralogical.com services contain proprietary and confidential information that is the property of Website Owner and is protected by applicable intellectual property and other laws. No rights or title of to any of the proprietary and confidential information on Theralogical.com or any software used in connection with any of its services is provided, transferred, or assigned to you. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on any of Theralogical.com services or software, in whole or in part. Trademarks, service marks, logos, and copyrighted works appearing in Theralogical.com are the property of the Website Owner. Theralogical.com retains all rights with respect to any intellectual property appearing on the website, and no rights in such materials are transferred or assigned to you.
No Warranties. The use of Theralogical.com and any service it provides is at your sole risk. The website services are provided on an “as is” and “as available” basis. Theralogical.com expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Jurisdiction. This Agreement or any dispute arising from this Agreement is governed by the laws of Florida, without regard to provisions of conflicts of law. Venue of any action arising out of this Agreement shall lie exclusively in Palm Beach County, Florida. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of this website or this agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred.
Prevailing Party. The prevailing party in any such action shall be entitled to recover its reasonable attorneys’ fees and costs incurred in litigating or otherwise settling or resolving such action.
Jury Trial. CLIENT FURTHER AGREES, TO THE EXTENT PERMITTED BY APPLICABLE LAW, TO WAIVE ANY RIGHT TO TRIAL BY JURY WITH RESPECT TO ANY CLAIM, COUNTERCLAIM OR ACTION ARISING FROM THE TERMS OF THIS AGREEMENT.
Severability. If any part of this Agreement is found by a court of competent jurisdiction to be unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. In addition, in such event the unenforceable or invalid provision shall be deemed to be modified to the extent necessary to (i) render it valid and enforceable and (ii) give the fullest effect possible to the original intent of the provision.
Certification. You certify that you are at least 18 years of age and that your answers to the registration materials on Theralogical.com will be truthful. In accessing and using Theralogical.com, you understand and agree that basic information concerning you, given to Theralogical.com, will be published on the website for others to view along with your User ID. Your name, address and e-mail address are kept confidential, except where provided above.
Entire Agreement. This Agreement constitutes your entire Agreement with Theralogical.com and Website Owner with respect to any services.
Waiver. The failure of Website or Website Owner to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by Website or Website Owner must be in writing and signed by an authorized representative of the Website Owner.
Termination of Account: Website Owner reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.
Posted Content: If you do post content or submit material, and unless we indicate otherwise, you grant Website Owner and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media, including, without limitation, any ideas, concepts, know-how, or techniques contained in any communications, content, or materials you send to the Theralogical.com for any purpose whatsoever, including, without limitation, developing, manufacturing, providing, or promoting new products or services using such information and things. 7. HOW LONG DO WE KEEP YOUR INFORMATION?
In Short: We keep your information for as long as necessary to fulfill the purposes outlined in this privacy notice unless otherwise required by law.
We will only keep your personal information for as long as it is necessary for the purposes set out in this privacy notice, unless a longer retention period is required or permitted by law (such as tax, accounting, or other legal requirements). No purpose in this notice will require us keeping your personal information for longer than the period of time in which users have an account with us.
When we have no ongoing legitimate business need to process your personal information, we will either delete or anonymize such information, or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible.

In some regions (like the EEA, UK, and Canada), you have certain rights under applicable data protection laws. These may include the right (i) to request access and obtain a copy of your personal information, (ii) to request rectification or erasure; (iii) to restrict the processing of your personal information; and (iv) if applicable, to data portability. 11. CONTROLS FOR DO-NOT-TRACK FEATURES
Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track (“DNT”) feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. At this stage no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we do not currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. If a standard for online tracking is adopted that we must follow in the future, we will inform you about that practice in a revised version of this privacy notice.
12. DO CALIFORNIA RESIDENTS HAVE SPECIFIC PRIVACY RIGHTS?
In Short: Yes, if you are a resident of California, you are granted specific rights regarding access to your personal information.
California Civil Code Section 1798.83, also known as the “Shine The Light” law, permits our users who are California residents to request and obtain from us, once a year and free of charge, information about categories of personal information (if any) we disclosed to third parties for direct marketing purposes and the names and addresses of all third parties with which we shared personal information in the immediately preceding calendar year. If you are under 18 years of age, reside in California, and have a registered account with Services, you have the right to request removal of unwanted data that you publicly post on the Services. Right to request deletion of the data — Request to delete
You can ask for the deletion of your personal information. If you ask us to delete your personal information, we will respect your request and delete your personal information, subject to certain exceptions provided by law, such as (but not limited to) the exercise by another consumer of his or her right to free speech, our compliance requirements resulting from a legal obligation, or any processing that may be required to protect against illegal activities.

Right to Limit Use and Disclosure of Sensitive Personal Information
We do not process consumer’s sensitive personal information.
Verification process
Upon receiving your request, we will need to verify your identity to determine you are the same person about whom we have the information in our system. These verification efforts require us to ask you to provide information so that we can match it with information you have previously provided us. For instance, depending on the type of request you submit, we may ask you to provide certain information so that we can match the information you provide with the information we already have on file, or we may contact you through a communication method (e.g., phone or email) that you have previously provided to us. We may also use other verification methods as the circumstances dictate.
We will only use personal information provided in your request to verify your identity or authority to make the request. To the extent possible, we will avoid requesting additional information from you for the purposes of verification. However, if we cannot verify your identity from the information already maintained by us, we may request that you provide additional information for the purposes of verifying your identity and for security or fraud-prevention purposes. We will delete such additionally provided information as soon as we finish verifying you.
Other privacy rights

• You may object to the processing of your personal information.

• You may request correction of your personal data if it is incorrect or no longer relevant, or ask to restrict the processing of the information.

• You can designate an authorized agent to make a request under the CCPA on your behalf. We may deny a request from an authorized agent that does not submit proof that they have been validly authorized to act on your behalf in accordance with the CCPA.

• You may request to opt out from future selling or sharing of your personal information to third parties. Upon receiving an opt-out request, we will act upon the request as soon as feasibly possible, but no later than fifteen (15) days from the date of the request submission.

Virginia CDPA Privacy Notice
Under the Virginia Consumer Data Protection Act (CDPA):
“Consumer” means a natural person who is a resident of the Commonwealth acting only in an individual or household context. It does not include a natural person acting in a commercial or employment context.
